Preliminary remark

ADAC Travel und Event Mittelrhein GmbH arranges ferry transportation services from providers (shipping companies) on its website. Hereby a contract between the customer and the provider (shipping company) comes into effect. Accordingly, the general terms and conditions of the providers apply to the respective booking.

The customer can find the general terms and conditions of the providers on the respective website of the provider. For this purpose, TE has created an overview, which can be found at www.adac-faehren.de/reeder-agb.

1. General

1.1 Scope of Application

These General Terms and Conditions apply to the arrangement of ferry transportation services (hereinafter referred to as service) between ADAC Travel & Event Mittelrhein GmbH (hereinafter referred to as TE), Viktoriastraße 15, 56058 Koblenz, represented by its managing directors Marc Hennerici, Georg Fuchs and the customer, via the website www.adac-faehren.de as well as other URLs (hereinafter referred to as "platform") in the version valid at the time of the conclusion of the contract.

For the arranged services as such, the corresponding General Terms and Conditions of the providers apply exclusively.

Should any conflicting General Terms and Conditions be used, they are hereby expressly rejected.

1.2 Contract agreement

The contract language is German.

"Users" are all persons who use the functions of the platform.

"Providers" are shipping companies/ferry transport service providers whose service offers are arranged via the platform.

"Customers", on the other hand, are users who enter into contractual relationships with the providers, i.e., the customers of the providers. A customer can only be a natural person who has reached the age of 18 or a legal person or partnership who has been represented at the time of registration by a person authorized to represent the company, which must be named.

"Agent" is ADAC Travel & Event Mittelrhein GmbH.

"Agencies" are travel agencies that also act as intermediaries.

2. Description of services

2.1 General

Customers can book the services of the providers via the platform. TE acts only as an intermediary and provides only the platform for the arrangement. If a service booking is made, TE itself does not become a contractual partner. The contract is concluded exclusively between the provider and the customer. The respective general terms and conditions of the providers apply.

The customer can find the general terms and conditions of the providers on the respective website of the provider. For this purpose, TE has created an overview, which can be found at www.adac-faehren.de/reeder-agb.

The advertising of the respective offers is carried out by TE. TE reserves the right to make any necessary adjustments to the content supplied by the provider to adapt it to the design used on the platform or to make the necessary formatting changes.

In principle, TE does not check whether the content transmitted by providers to TE and information provided by customers is lawful, truthful and complete. TE merely places them on the platform.

2.2 Service provision

TE is entitled to have the arrangement service performed by third parties.

2.3 Time of performance

Unless expressly agreed otherwise, TE shall provide the arrangement service immediately.

If the booking is made via the booking form or by telephone, TE shall generally provide the arrangement service within three days. The period for the arrangement service begins with the expiry of the day of the request. If the day on which the deadline ends falls on a Saturday, Sunday or a general public holiday recognized by the state at the place of performance, the deadline ends on the next working day.

3. Payment

The use of the platform as a customer is free of charge.

Upon conclusion of the contract between the provider and the customer, TE accepts the customer's payments on behalf of the provider. If the booking is made by an agency, the agency can also handle the payment. TE acts here on behalf and in the name of the provider.

4 Conclusion of Contract between Provider and Customer

4.1 Via the platform

TE offers the customers of the platform the possibility to purchase services of the providers. However, TE does not become a contracting party itself and merely makes the platform available to the providers and customers.

The conclusion of the contract between the customer and the provider consists of a total of four steps.

The presentation of the providers' various services on the platform of TE is initially subject to confirmation and non-binding.

In the first step, the customer selects the necessary details for his trip (outward and/or return journey, start and destination port, date).

In the second step, the customer receives an overview of the providers' individual services for the details selected by the customer. He can then decide on the service of a provider.

In the third step, the customer must enter further details about the people traveling, their accommodation, the vehicles and additional services such as pets.

By confirming the "Calculate Price" button, the customer is shown the provider's price.

Via the button "To booking" the customer reaches the fourth step.

In the fourth step, the customer must enter his personal data, delivery address and, if necessary, different billing address, selects a payment method and has once again the opportunity to review all information (e.g., name, address, payment method, ordered items) and correct any input errors. The customer must also accept TE's GTC as well as the provider's GTC before confirming his order by clicking on the button "order subject to payment".

By placing the order, the customer makes a binding offer to enter into a contract with the provider. TE will immediately confirm the receipt of the order to the customer. The confirmation of receipt does not constitute a binding acceptance of the order. TE is entitled to accept the contract offer contained in the order on behalf of the respective provider within two days after receipt of the order by e-mail, fax, telephone or mail. The contract between the customer and the provider is only concluded upon acceptance.

The ticket will be sent by e-mail following the booking.

4.2 Price inquiry and booking using a form

Alternatively, the customer can send TE a non-binding price inquiry or a booking request directly using the form provided. In case of a booking request, the completed form represents the customer's binding contractual offer to the provider, which the provider can accept. Through acceptance, the contract between the customer and the provider is concluded. TE acts only as an intermediary. The content of the contract results from the agreement reached; separate storage of the contract's text does not take place.

4.3 Booking via an agency (travel agency)

Furthermore, the customer can make a booking at an agency (travel agency), which arranges ferry bookings through TE.

The agency shall hand over TE's agency terms and conditions to the customer prior to the booking. It shall draw the customer's attention to the fact that the shipping company's terms and conditions shall apply exclusively to the transport service.

By placing an order through the agent, the customer submits his binding contractual offer to the provider. TE is entitled to accept the contract offer contained in the order on behalf of the respective provider within two days after receipt of the order by e-mail, fax, telephone or mail. The contract between the customer and the provider is only concluded upon acceptance.

The ticket will be sent by e-mail following the booking.

4.4 Storage of the contract text

The text of the contract will be stored by TE and sent to the customer in text form (e.g., by e-mail, fax or post) after the order has been sent together with these General Terms and Conditions and customer information. However, the contract's text can no longer be retrieved by the customer via the website after sending the order.

5. Service fee for rebooking and cancellation

In case of rebooking or cancellation of booked services by the customer, TE charges a service fee of 20.00 EUR. Additional costs of the provider may apply.

6. Resale of tickets

Purchased tickets are bound to the name. A sale of the tickets to commercial dealers is prohibited. The commercial resale of tickets to third parties is also prohibited.

7 Usability of the services

7.1 Further development of the service / Availability

TE endeavors to adapt the arrangement services to current technical developments. TE, therefore, reserves the right to make changes to the agreed arrangement services, provided that such changes do not affect the core services and are reasonable for the User, taking into account the User's interests. We are also entitled to interrupt the platform operation wholly or partially within reasonable limits for updating and maintenance. In this respect, TE does not guarantee the availability of the offered arrangement services at any time and does not warrant that the provided arrangement services or parts thereof will be made available and can be used from any location.

7.2 Technical requirements

The use of the platform requires corresponding compatible devices. It is the customer's responsibility to put or keep the device in a condition that enables platform services.

8 Liability

8.1 Exclusion of liability

TE and its legal representatives and vicarious agents shall only be liable for intent or gross negligence. Insofar as essential arrangement contract obligations (consequently, such duties whose compliance is of particular importance for the achievement of the purpose of the contract) are concerned, liability shall also be assumed for slight negligence. In this case, liability shall be limited to the foreseeable damage typical for the contract. In relation to entrepreneurs, TE shall be liable in the event of a grossly negligent breach of non-essential arrangement contract obligations only to the extent of the foreseeable, contract-typical damage.

8.2 Reservation of liability

The above exclusion of liability does not apply to liability for damages resulting from injury to life, body or health. The provisions of the Product Liability Act shall also remain unaffected by this exclusion of liability.

8.3 Clarification of liability

The responsibility for a complete and timely provision of services lies exclusively with the provider.

9. Final provisions

9.1 Place of jurisdiction

The exclusive place of jurisdiction for all legal disputes arising from this contract shall be the registered office of TE, provided that you are a merchant, a legal entity under public law or a special fund under public law.

9.2 Choice of law

As far as there are no compelling legal regulations according to your home country law, German law under exclusion of the CISG is considered as agreed.

9.3 Consumer dispute resolution procedure

The EU Commission has created an Internet platform for the online resolution of disputes concerning contractual obligations arising from online contracts (OS platform). You can access the ODR platform at the following link: ec.europa.eu/consumers/odr/. We are not willing and not obliged to participate in a dispute resolution procedure before a consumer arbitration board.

9.4 Severability clause

The invalidity of individual provisions shall not affect the validity of the remaining General Terms and Conditions.

Vorbemerkung

Die ADAC Travel und Event Mittelrhein GmbH vermittelt auf Ihrer Webseite Fährbeförderungsleistungen von Anbietern (Reedereien). Hierbei kommt ein Vertrag zwischen dem Kunden sowie dem Anbieter (Reederei) zustande. Dementsprechend gelten die AGB der Anbieter für die jeweilige Buchung.

Die allgemeinen Geschäftsbedingungen der Anbieter findet der Kunde auf der jeweiligen Webseite des Anbieters. Hierfür hat TE eine Übersicht erstellt, welche unter www.adac-faehren.de/reeder-agb zu finden ist.

1. Allgemeines

1.1 Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen gelten für die Vermittlung von Fährbeförderungsleistungen (im Folgenden Leistung genannt) zwischen der ADAC Travel & Event Mittelrhein GmbH (im Folgenden TE genannt), Viktoriastraße 15, 56058 Koblenz, vertreten durch ihre Geschäftsführer Marc Hennerici, Georg Fuchs und dem Kunden, über die Webseite www.adac-faehren.de sowie weitere URLs (nachfolgend: „Plattform“ genannt) in der zum Zeitpunkt des Vertragsschlusses gültigen Fassung.

Für die vermittelten Leistungen als solche gelten ausschließlich die entsprechenden AGB der Anbieter.

Sollten Sie entgegenstehende Allgemeine Geschäftsbedingungen verwenden, wird diesen hiermit ausdrücklich widersprochen.

1.2 Vertragsvereinbarung

Vertragssprache ist deutsch.

„Nutzer" sind alle Personen, die sich der Funktionen der Plattform bedienen.

„Anbieter“ sind Reedereien/Fährbeförderungsleistungsanbieter, deren Leistungsangebote über die Plattform vermittelt werden.

„Kunden“ hingegen sind Nutzer, die mit den Anbietern vertragliche Beziehungen eingehen, also die Kunden der Anbieter. Kunde kann nur sein, wer als natürliche Person das 18. Lebensjahr vollendet hat, oder als juristische Person oder Personengesellschaft bei der Anmeldung durch eine vertretungsberechtigte Person vertreten worden ist, die namentlich genannt werden muss.

„Vermittler“ ist die ADAC Travel & Event Mittelrhein GmbH.

„Agenturen“ sind Reisebüros, welche ebenfalls als Vermittler auftreten.

2. Leistungsbeschreibung

2.1 Allgemeines

Kunden können über die Plattform Leistungen der Anbieter buchen. Hierbei tritt TE nur als Vermittler auf und stellt lediglich die Plattform für die Vermittlung zur Verfügung. Erfolgt eine Buchung einer Leistung, wird TE nicht selbst Vertragspartner. Dies sind allein der Anbieter und der Kunde. Es gelten die jeweiligen AGB der Anbieter.

Die allgemeinen Geschäftsbedingungen der Anbieter findet der Kunde auf der jeweiligen Webseite des Anbieters. Hierfür hat TE eine Übersicht erstellt, welche unter www.adac-faehren.de/reeder-agb zu finden ist.

Das Inserieren der jeweiligen Angebote erfolgt durch TE. TE behält sich vor, an den vom Anbieter gelieferten Inhalten ggf. Anpassungen an das auf der Plattform verwendete Design, bzw. die notwendigen Formatierungen, durchzuführen.

Grundsätzlich überprüft TE jedoch nicht, ob die von Anbietern an TE übermittelten Inhalte, sowie von Kunden gemachte Angaben rechtmäßig, wahrheitsgemäß und vollständig sind. TE stellt diese lediglich auf der Plattform ein.

2.2 Leistungserbringung

TE ist berechtigt die Vermittlungsleistung durch Dritte erfüllen zu lassen.

2.3 Leistungszeit

Soweit nicht ausdrücklich etwas anderes vereinbart wurde, erbringt TE die Vermittlungsleistung bei Buchung über die Plattform umgehend.

Bei Buchung via Buchungsformular oder telefonisch erbringt TE die Vermittlungsleistung in der Regel innerhalb von drei Tagen. Die Frist für die Vermittlungsleistung beginnt mit dem Ablauf des Tages der Anfrage. Fällt der Tag des Fristendes auf einen Samstag, Sonntag oder einen am Leistungsort staatlich anerkannten allgemeinen Feiertag, endet die Frist am nächsten Werktag.

3. Zahlung

Die Nutzung der Plattform als Kunde ist kostenlos.

Bei Vertragsschluss zwischen Anbieter und Kunde, nimmt TE die Zahlungen des Kunden stellvertretend für den Anbieter entgegen. Wird die Buchung durch eine Agentur durchgeführt, kann diese auch die Zahlung abwickeln. TE handelt hierbei im Auftrag und im Namen des Anbieters.

4. Vertragsschluss zwischen Anbieter und Kunde

4.1 Über die Plattform

TE bietet den Kunden der Plattform die Möglichkeit, Leistungen der Anbieter zu erwerben. TE wird hierbei jedoch nicht selbst Vertragspartner und stellt den Anbietern sowie Kunden lediglich die Plattform zur Verfügung.

Der Vertragsschluss des Kunden mit dem Anbieter besteht aus insgesamt vier Schritten.

Die Darstellung der verschiedenen Leistungen der Anbieter auf der Plattform von TE ist zunächst freibleibend und unverbindlich.

Im ersten Schritt wählt der Kunde die notwendigen Details zu seiner Reise (Hin- und/oder Rückfahrt, Start und Ziel Hafen, Datum) aus.

Im zweiten Schritt erhält der Kunde eine Übersicht über die einzelnen Leistungen der Anbieter zu den vom Kunden ausgewählten Details. Er kann sich nun für eine Leistung eines Anbieters entscheiden.

Im dritten Schritt muss der Kunde weitere Details angeben, insbesondere zu den reisenden Personen, deren Unterbringung, den Fahrzeugen und Zusatzleistungen wie bspw. Haustiere.

Mit Bestätigung des Buttons „Preisberechnung“ wird dem Kunden der Preis des Anbieters angezeigt.

Über den Button „Zur Buchung“ gelangt der Kunde zum vierten Schritt.

Im vierten Schritt muss der Kunde seine persönlichen Daten, Lieferanschrift und ggf. abweichende Rechnungsanschrift eingeben, eine Zahlungsart auswählt und hat noch einmal die Möglichkeit, sämtliche Angaben (z.B. Name, Anschrift, Zahlungsweise, bestellte Artikel) erneut zu überprüfen und ggf. Eingabefehler zu berichtigen. Zusätzlich muss der Kunde die AGB von TE sowie die AGB des Anbieters akzeptieren, bevor er seine Bestellung durch Klicken auf den Button "zahlungspflichtig bestellen" bestätigt.

Mit der Bestellung gibt der Kunde verbindlich sein Vertragsangebot an den Anbieter ab. TE wird dem Kunden den Zugang der Bestellung unverzüglich bestätigen. Die Zugangsbestätigung stellt noch keine verbindliche Annahme der Bestellung dar. TE ist berechtigt, das in der Bestellung liegende Vertragsangebot stellvertretend für den jeweiligen Anbieter innerhalb von zwei Tagen nach Eingang der Bestellung per E-Mail, Fax, Telefon oder postalisch verbindlich anzunehmen. Erst mit der Annahme kommt der Vertrag zwischen Kunde und Anbieter zustande.

Das Ticket wird im Anschluss an die Buchung per E-Mail zugestellt.

4.2 Preisanfrage und Buchung mittels Formulars

Alternativ kann der Kunde TE auch eine unverbindliche Preisanfrage oder direkt eine Buchungsanfrage mittel des bereitgestellten Formulars senden. Bei einer Buchungsanfrage stellt das ausgefüllte Formular das verbindliche Vertragsangebot des Kunden an den Anbieter dar, dass dieser annehmen kann. Durch die Annahme kommt der Vertrag zwischen dem Kunden und dem Anbieter zustande. TE tritt hierbei nur als Vermittler auf. Der Vertragsinhalt ergibt sich aus der getroffenen Vereinbarung, eine gesonderte Speicherung des Vertragstextes findet nicht statt.

4.3 Buchung über eine Agentur (Reisebüro)

Weiterhin kann der Kunde eine Buchung in einer Agentur (Reisebüro) vornehmen, welches Fährenbuchungen über TE vermittelt.

Die Agentur händigt dem Kunden die Vermittlungs-AGB von TE vor der Buchung aus und macht darauf aufmerksam, dass für die Beförderungsleistung ausschließlich die AGB der Reederei gelten.

Mit der Bestellung über den Agenten gibt der Kunde sein verbindliches Vertragsangebot an den Anbieter ab. TE ist berechtigt, das in der Bestellung liegende Vertragsangebot stellvertretend für den jeweiligen Anbieter innerhalb von zwei Tagen nach Eingang der Bestellung per E-Mail, Fax, Telefon oder postalisch verbindlich anzunehmen. Erst mit der Annahme kommt der Vertrag zwischen Kunde und Anbieter zustande.

Das Ticket wird im Anschluss an die Buchung per E-Mail zugestellt.

4.4 Speicherung des Vertragstextes

Der Vertragstext wird von TE gespeichert und dem Kunden nach Absendung der Bestellung nebst den vorliegenden AGB und Kundeninformationen in Textform (z.B. E-Mail, Fax oder postalisch) zugeschickt. Der Vertragstext kann von dem Kunden nach Absendung seiner Bestellung jedoch nicht mehr über die Internetseite abgerufen werden.

5. Servicegebühr bei Umbuchung und Stornierung

Bei Umbuchungen oder Stornierungen von gebuchten Leistungen durch den Kunden erhebt die TE eine Servicegebühr von 20,00 EUR. Zusätzlich können ggf. Gebühren des Anbieters anfallen.

6. Weiterveräußerung von Tickets

Erworbene Tickets sind namensgebunden. Eine Veräußerung der Tickets an gewerbliche Händler ist untersagt. Auch der gewerbliche Weiterverkauf der Tickets an Dritte ist untersagt.

7. Nutzbarkeit der Dienste

7.1 Weiterentwicklung der Dienstleistung / Verfügbarkeit

TE ist bemüht, die Vermittlungsleistungen an aktuelle technische Entwicklungen anzupassen. TE behält sich daher Änderungen der vereinbarten Vermittlungsleistungen vor, soweit solche Änderungen nicht die Kernleistungen beeinträchtigen und unter Berücksichtigung der Interessen des Nutzer für diesen zumutbar sind. Auch sind wir berechtigt den Plattform-Betrieb zu Zwecken der Aktualisierung und Wartung teilweise oder komplett im zumutbaren Rahmen zu unterbrechen. TE übernimmt insofern keine Garantie für die jederzeitige Verfügbarkeit der angebotenen Vermittlungsleistungen und sichert nicht zu, dass die angebotenen Vermittlungsleistungen oder Teile davon von jedem Ort aus verfügbar gemacht werden und genutzt werden können.

7.2 Technische Voraussetzungen

Die Nutzung der Plattform setzt entsprechende kompatible Geräte voraus. Es obliegt dem Kunden das Gerät in einen Zustand zu versetzen oder zu halten, welche die Nutzung der Plattform-Dienste ermöglicht.

8. Haftung

8.1 Haftungsausschluss

TE sowie ihre gesetzlichen Vertreter und Erfüllungsgehilfen haften nur für Vorsatz oder grobe Fahrlässigkeit. Soweit wesentliche Vermittlungsvertragspflichten (folglich solche Pflichten, deren Einhaltung für die Erreichung des Vertragszwecks von besonderer Bedeutung ist) betroffen sind, wird auch für leichte Fahrlässigkeit gehaftet. Dabei beschränkt sich die Haftung auf den vorhersehbaren, vertragstypischen Schaden. Gegenüber Unternehmern haftet TE im Falle eines grob fahrlässigen Verstoßes gegen nicht wesentliche Vermittlungsvertragspflichten nur in Höhe des vorhersehbaren, vertragstypischen Schadens.

8.2 Haftungsvorbehalt

Der vorstehende Haftungsausschluss betrifft nicht die Haftung für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit. Auch die Vorschriften des Produkthaftungsgesetzes bleiben von diesem Haftungsausschluss unberührt.

8.3 Klarstellung zur Haftung

Die Verantwortung für eine vollständige und fristgerechte Leistungserbringung obliegt ausschließlich dem Anbieter.

9. Schlussbestimmungen

9.1 Gerichtsstand

Als ausschließlicher Gerichtsstand für alle Rechtsstreitigkeiten aus diesem Vertrag wird der Geschäftssitz der TE vereinbart, sofern Sie Kaufmann, eine juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen sind.

9.2 Rechtswahl

Soweit nicht zwingende gesetzliche Bestimmungen nach Ihrem Heimatrecht entgegenstehen, gilt deutsches Recht unter Ausschluss des UN-Kaufrechts als vereinbart.

9.3 Verbraucher-Streitbeilegungsverfahren

Die EU-Kommission hat eine Internetplattform zur Online-Beilegung von Streitigkeiten betreffend vertraglicher Verpflichtungen aus Online-Verträgen geschaffen (OS-Plattform). Sie können die OS-Plattform unter dem folgenden Link erreichen: ec.europa.eu/consumers/odr/. Wir sind nicht bereit und nicht verpflichtet an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.

9.4 Salvatorische Klausel

Die Unwirksamkeit einzelner Bestimmungen berührt die Gültigkeit der übrigen Allgemeinen Geschäftsbedingungen nicht.
